Merger MOU agreement between Nabil and Nepal Bangladesh Bank: Swap Ratio is 100/43

Kathmandu. Nabil Bank and Nepal Bangladesh Bank have agreed to merge. For the merger, an agreement has been reached to have 43 shares of Nabil Bank equal to 100 shares of Nepal Bangladesh Bank. A Nabil Bank source said that some practical issues were verbally agreed without mentioning in the agreement.

It has been agreed that the name of the bank will be Nabil Bank after the merger. After the merger, the current chairman of the bank will be Upendra Poudyal and the chief executive officer will be Anil Keshari Shah of Nabil Bank.

Nepal Bangladesh Bank is currently chaired by ARM Najmus Shakib, representing ICFC Bank, Bangladesh. A preliminary agreement has been reached to appoint Bhupendra Pandela as the senior chief executive officer of Nepal Bangladesh Bank after the merger.
